We are seeking a business-oriented, proactive attorney with experience analyzing a variety of procurement agreements and counseling business teams on contracting and commercial issues. This position has the flexibility for remote working but is required to be within commuting distance of our Burr Ridge, IL, Racine, WI or New Holland, PA offices to attend meetings with clients and stakeholders as needed.
Reporting to the Sr. Managing Counsel – North America Litigation and Supply Chain, the essential functions of this position are:
Contract Drafting and Review: Counsel and support Purchasing and Logistics teams in negotiating, drafting and reviewing a variety of supply, service, and logistics agreements, including those related to: parts and raw materials purchases, on-site contractors, professional services, SAAS and software licenses, telecom, energy/industrial gases, transportation and warehousing, equipment leasing. Develop, update and maintain contract templates and provide training to Purchasing clients on contract terms and contracting best practices.
Business Counseling and Dispute Resolution: Counsel Purchasing and other internal stakeholders with respect to contract interpretation questions and vendor disputes. Develop and guide strategy for resolving pre-litigation commercial disputes in conjunction with business needs. Manage outside counsel work with other members of the Procurement and Supply Chain legal team as needed to efficiently manage litigated vendor disputes.
May include the opportunity to advise stakeholders on data privacy and data protection policies and practices, with respect to vendor agreements and CNHI strategic initiatives where data security and privacy issues are implicated.
J.D. Degree and a current member of the appropriate State Bar.
Minimum 6 years related experience in-house or in major law firm with experience in supply chain (purchasing) and commercial practice and/or 6 years experience working for a manufacturing client focused on supply chain and commercial practice, with proven ability to provide legal advice within the business context.
Ability to travel 10% domestically.

Willing and able to be proactive and take initiative to identify and help implement process improvements for contracting and matter management.
Experience handling data privacy/security issues beneficial.
